NOTICE OF INTENT TO DISSOLVE CLEARWATER ENTERPRISES, INC.

1. The name of the corporation is Clearwater Enterprises, Inc. (the “Company”).

2. The Company has dissolved and is in the process of winding up its affairs.

3. The dissolution of the Company was approved pursuant to Minn. Stat. § 302A.721. The resolution to dissolve the Company was validly approved by the shareholders without a meeting by unanimous written consent on December 21, 2019 in Clear Lake, Minnesota.
